1. Agreement

These Terms of Service ("Terms") govern your access to and use of the Abax platform and abax.fund (the "Service"), provided by Abax ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms.

2. The Service

Abax provides software for venture capital fund administration, including fund accounting, capital call processing, LP reporting, document management, and compliance tracking. Abax is a software provider, not a registered investment adviser, broker-dealer, accountant, attorney, or fiduciary.

3. Accounts

You must provide accurate registration information and keep it current.
You are responsible for safeguarding your credentials and for all activity under your account.
You must be authorized to bind your organization to these Terms.

4. Subscription and Fees

Paid subscriptions are billed on a per-fund basis as described on our pricing page. Fees are non-refundable except as required by law. We may change pricing with prior notice; changes apply at the start of your next billing cycle.

5. Customer Data

You retain all rights to data you upload or generate in the Service ("Customer Data"). You grant Abax a limited license to host, process, and display Customer Data solely to provide and improve the Service. You are responsible for the accuracy and legality of Customer Data and for obtaining all necessary consents (including from your investors) to upload it.

6. Acceptable Use

You agree not to:

Use the Service to violate any law or third-party right.
Reverse engineer, decompile, or attempt to extract source code.
Interfere with or disrupt the Service or its infrastructure.
Upload malware or scrape the Service in unauthorized ways.
Resell or sublicense the Service without our written consent.

7. Third-Party Services

The Service integrates with third parties (e.g., Google/Gmail, Stripe, Supabase). Your use of those services is subject to their respective terms. We are not responsible for third-party services.

8. Intellectual Property

Abax and its licensors own all rights in the Service, including software, designs, and trademarks. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription.

9. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind. Abax does not provide legal, tax, accounting, or investment advice. Outputs (including AI-extracted data, fee calculations, and reports) should be reviewed by qualified professionals before being relied upon.

10. Limitation of Liability

To the maximum extent permitted by law, Abax's aggregate liability arising out of or relating to the Service will not exceed the fees you paid in the 12 months preceding the claim. Abax is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data.

11. Indemnification

You agree to indemnify and hold Abax harmless from claims arising out of your Customer Data, your violation of these Terms, or your violation of any law or third-party right.

12. Termination

You may cancel your subscription at any time. We may suspend or terminate access for breach of these Terms or non-payment. Upon termination, you may export your data for a reasonable period, after which we may delete it.

13. Changes

We may update these Terms from time to time. Material changes will be communicated via email or in-app notice. Continued use of the Service constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in Delaware.
